Terms / Interim Beta 2
Terms of use and software licence.
These terms replace the private-beta terms of 19 July 2026 (terms-beta-2026-07-19) for accounts that accept this version. They are published as an interim version so that paid Beta 2 subscriptions rest on written, accurate and complete commercial terms while final legal review is completed. Where the final version reduces your rights compared with this one, the reduction applies only to the period after you accept it.
1. Seller and scope
cinemaOS is supplied by Julien Kerknawi, trading as Momentum Studios, Belgian enterprise number 0648.946.826, VAT BE0648946826 (“Momentum”, “we”, “us”). Registered establishment address: Jules Van Biesbroeckstraat 156, 9050 Gent, Belgium. These terms govern the cinemaOS application, the Momentum account, updates, support, trials and paid subscriptions.
2. What cinemaOS is
cinemaOS is a professional macOS video post-production suite comprising the Sequencer editorial workspace, the Finisher finishing workspace, Atelier and the SOUND mixing environment. It requires an Apple Silicon Mac running macOS 15 or later. The current build is approximately 3.3 GB because it includes approximately 3.0 GB of local model assets, and roughly 40 GB of free disk space is recommended for working projects.
The bundled artificial-intelligence features run on your Mac. This includes the JARED assistant and its planning and vision components, on-device semantic embeddings, Whisper large-v3 turbo transcription, speaker diarization, subject and person segmentation, sky replacement and stabilization, executed through a local Metal runtime. cinemaOS does not send your projects, media, frames, transcripts, prompts or model output to us or to any third party for these features, and we do not train models on your content.
Real-ESRGAN, BSRGAN and MPRNet are optional restoration packs that you download only if you request them. Import and export formats are listed in the product documentation shipped with the application.
3. What cinemaOS is not, and beta status
These limitations are disclosed before purchase and are part of the agreed description of the software. They are not defects.
- Voice cloning is not included in this build. Where a voice-cloning interface is visible, no voice-cloning model ships with the application and the capability is not supplied.
- Automated lip sync, DCP authoring, IMF package authoring and Dolby E-AC-3 JOC or AC-4 encoding are not included.
- Vendor SDKs for R3D, BRAW, ARRIRAW and X-OCN are not bundled. Professional camera RAW playback requires a decoder that macOS itself makes available.
- Local dubbing and on-device translation depend on macOS language and voice support installed on your Mac, which differs between machines.
- Interchange import (FCPXML, Premiere XML, EDL, AAF and the experimental .prproj reader) is conform-grade, not parity-complete. Effects, styled titles, multicam angle cuts and audio plug-in chains do not translate, and every side-step is listed in the conform report.
- Analysis, diagnostics and AI suggestions produce evidence for your review. They are not objective creative truth, certified measurement, or a prediction of audience outcome, and professional output must be checked before delivery.
- The interface is English-only in this release.
cinemaOS is offered as a beta release. Features may change, be added or be withdrawn between builds. Beta status does not reduce the statutory conformity rights in section 13; software supplied against payment must correspond to the description above and to what a consumer may reasonably expect from it.
4. Account
You must provide a valid email address, protect your password and keep account information accurate. You are responsible for activity under your account unless caused by our failure to secure the service. Notify support@mntm-studios.com promptly about suspected compromise. Accounts may not be sold, shared outside the licensed user or used to evade device, trial or education controls. You must be at least 18 years old to hold an account.
5. Trial, referrals and education
- The trial provides Complete features for 14 days and starts when the account email is verified. No card is required during the trial, and no payment instrument is collected or charged while it runs.
- The trial is free of charge and is not a paid contract. It does not convert automatically into a paid subscription and it does not expire into a charge. Paid checkout becomes available only once the trial has ended, and only if you choose to subscribe.
- Each independently valid referral code can add 14 days. Distinct rewards stack; duplicate, self, automated or fraudulent referrals do not qualify and may be reversed.
- Verified education users receive Complete while eligible, subject to human review, reasonable evidence and periodic re-verification. Acceptable evidence is a current institution ID, a dated enrollment or employment letter, or an institution-issued email, always with an independent human check by Momentum’s designated reviewer; grants last 30–366 days with re-verification at least annually.
6. Plans, prices and VAT
All prices are in euro. Pro has a base price of €19.99 per month excluding VAT. Complete has a base price of €24.99 per month excluding VAT and includes all features actually available in this build.
Prices shown in the application and on the website exclude VAT. VAT is calculated at checkout from the billing address you provide and is added to the base price. The checkout page shows the base price, the VAT amount and the total payable before you confirm and pay; that total is the amount charged. A billing address is required at checkout, and business customers can enter a VAT identification number where the reverse charge or an exemption applies. Valid promotion codes can be entered at checkout.
7. Subscription term, auto-renewal and cancellation
A subscription is concluded when you complete checkout. It runs for one month and renews automatically for successive one-month periods at the then-current price plus applicable VAT until you cancel. Each renewal is charged to the payment method on file.
You can cancel at any time, without giving a reason and without a cancellation fee, in the Stripe-hosted billing portal reachable from your Momentum account, or by emailing support@mntm-studios.com. Cancellation stops the next renewal. Unless you are exercising the withdrawal right in section 9 or a statutory remedy applies, cancellation takes effect at the end of the period you have already paid for, and you keep access until then. We will notify you by email before any price change takes effect, and a price change never applies to a period already paid.
8. Payment
Stripe processes payment details. Momentum does not receive or store full card numbers. You can update payment details, download invoices and cancel through the Stripe-hosted billing portal. If a renewal payment fails, access to paid features may be suspended after the failure is confirmed; the underlying subscription is not extended and you are not charged for a period you did not receive.
9. Right of withdrawal (EU cooling-off)
If you are a consumer in the European Union, you have the right to withdraw from a paid subscription within 14 days without giving any reason.
- When the period starts. The 14-day period starts on the day the paid subscription contract is concluded, that is the day you complete checkout. The free trial is not a paid contract, so it neither starts nor consumes this period; a trial that has already run does not shorten your withdrawal period.
- Renewals. The withdrawal right applies to the conclusion of the subscription contract. It does not restart at each automatic renewal. Cancellation under section 7 remains available at any time.
- How to withdraw. Send an unequivocal statement of your decision to withdraw to support@mntm-studios.com, or use the billing portal and tell us you are withdrawing rather than cancelling. Sending the statement before the 14 days expire is enough. We will confirm receipt without undue delay.
- Effect. We refund the payments received from you, including any VAT charged, without undue delay and no later than 14 days after we are informed, using the same means of payment you used, at no cost to you.
- Immediate access. Access to paid features begins as soon as you subscribe, because that is the point of the purchase. If you asked us to begin during the withdrawal period and you then withdraw, you owe an amount proportionate to the part of the subscription period already supplied up to the moment you told us, and we refund the balance.
- Loss of the right. Under EU law the withdrawal right for digital content and digital services can be lost where performance has begun with your prior express consent and your acknowledgement that you thereby lose it. Momentum does not treat starting a subscription, downloading the application or using bundled models as an implied waiver of your withdrawal right. Any such consent must be given by you expressly and separately at checkout.
[OPERATOR: confirm with Belgian/EU counsel (a) whether express immediate-performance consent and acknowledgement must be collected at Stripe checkout for this product, and, if so, implement that collection before relying on the “loss of the right” paragraph; (b) whether the statutory model withdrawal form must be supplied with these terms and in the order-confirmation email, and attach the approved text; (c) whether a postal or telephone withdrawal channel must be published in addition to email.]
10. Refunds
Refunds are due where you exercise the withdrawal right in section 9, where a statutory conformity remedy in section 13 requires it, and where you were charged in error or for a period you did not receive. Refunds are issued to the original payment method and include the VAT charged on the refunded amount.
[OPERATOR: confirm whether Momentum offers any voluntary refund beyond these statutory cases — for example a goodwill refund window after the 14-day withdrawal period — and state it here, or state that none is offered. Do not leave this to case-by-case support discretion in the final version.]
11. Devices and offline use
One account may activate two Macs at a time. A device must periodically prove possession of its local security key. A signed offline entitlement lasts no more than seven days and never beyond the underlying trial, education or paid access period, so an activated Mac keeps working for up to seven days without a network connection before it must reconnect. You may deactivate a device to free a slot. Circumventing signatures, device limits, account checks or feature gates is prohibited.
12. Licence, your projects and acceptable use
While your entitlement is valid, Momentum grants you a limited, non-exclusive, non-transferable licence to install and use cinemaOS for lawful creative work, including commercial client work. You may not redistribute the application, rent access, extract or misuse private keys, bypass access controls, attack the service, automate account or referral abuse, or use cinemaOS in violation of third-party rights or law. Rights that cannot legally be restricted remain unaffected.
You retain ownership of your projects, footage and creative output, including output produced with the bundled on-device AI features. Momentum claims no licence over your material and does not use it to train or improve models. You are responsible for project backups and for holding the rights to your source material, and for reviewing AI-assisted output before delivery.
Expiry, cancellation or suspension does not authorize Momentum to encrypt, delete or hold your projects hostage. Opening, saving, backing up, relinking, recovery, local diagnostics and cancellation remain available irrespective of entitlement state.
13. Conformity, warranty and liability
cinemaOS supplied against payment must conform to the description in sections 2 and 3, to the information given before purchase and to what you can reasonably expect from software of this kind. If it does not, you are entitled to the statutory remedies under Belgian and EU consumer law, which may include bringing the software into conformity, a proportionate price reduction, or termination with a refund. These rights are free of charge to you and are not affected by the beta status of this release.
cinemaOS is professional creative software: analysis, AI suggestions and automated output are evidence to be reviewed, and delivered files must be checked before they are handed to a client or a platform. We do not warrant uninterrupted or error-free operation of the account and licensing services.
Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or any other liability that cannot lawfully be excluded or limited. [OPERATOR: confirm with Belgian/EU counsel the permitted liability allocation for this product — any cap, the exclusion of indirect or consequential loss, and the treatment of data loss and business interruption — and whether a different allocation applies to professional (B2B) customers. No cap is asserted in this interim version.]
14. Updates and availability
cinemaOS downloads signed updates only when you act; update checks are manual in this release and delta updates are not claimed. Security or compatibility may require a minimum build before a new entitlement is issued. Where the law requires us to supply updates necessary to keep paid software in conformity, we will do so for the period required. We aim to keep account and licensing services available but do not promise uninterrupted operation. Features listed as planned or unavailable must not be treated as delivered commitments.
15. Suspension and termination
We may suspend new entitlements for confirmed payment failure, compromised credentials, material breach, fraud or security risk, using proportionate review where practicable. You may stop using cinemaOS and request account deletion at any time. Project recovery remains available. Account deletion requests are honoured within 30 days; suspensions can be appealed via support@mntm-studios.com. Deleting your account does not by itself cancel a paid subscription; cancel under section 7 as well, or ask us to do both.
16. Governing law and disputes
Belgian law applies, without depriving consumers of mandatory protections in their country of residence. Registered establishment address: Jules Van Biesbroeckstraat 156, 9050 Gent, Belgium. Subject to mandatory consumer venue rules, the courts of Ghent, Belgium are competent. Complaints can always be sent first to support@mntm-studios.com, and we will respond.
[OPERATOR: confirm the out-of-court dispute route to publish. The private-beta terms of 19 July 2026 pointed consumers to the European Commission ODR platform; verify that this platform is still operating and, if it is not, name the correct competent consumer mediation or ADR body (for Belgium, the Consumer Mediation Service) with its current contact details before the final version.]
17. Contact and changes
Support: support@mntm-studios.com. Privacy: privacy@mntm-studios.com. The privacy notice for this release is published as privacy-beta2-2026-07-25.
This is an interim version. The final version will carry a new version identifier and will be presented for acceptance where the law requires it. Material changes are versioned and dated; they never silently rewrite a version you have already accepted. If you do not accept a new version, you may cancel under section 7 and, where applicable, seek a refund for any period paid but not supplied.
